This End User License Agreement ("EULA" or "Agreement") is a legal agreement between you (either an individual or a single entity, "You" or "Licensee") and Evolviture ("Licensor", "we", "us", or "our") for the use of digital products, software, tools, templates, graphics, content packs, and related materials (collectively, the "Product" or "Products") that you purchase or download from Evolviture. By installing, copying, accessing, or otherwise using any Product, you acknowledge that you have read this EULA, understand it, and agree to be bound by its terms.
Subject to your compliance with the terms of this Agreement and payment of any applicable fees, Evolviture grants you a limited, non-exclusive, non-transferable, revocable license to use the Product solely for your personal or internal business purposes. This license does not transfer ownership of the Product to you; you are merely granted the right to use it under the conditions stated here.
Personal Use: If you purchase a Product for personal use, you may install and use it on your personal device(s) for your own non-commercial projects or learning. You may not distribute, resell, or publicly share the Product.
Commercial Use: If the Product is labeled for commercial use or if you purchase a commercial license, you may use the Product in projects for your business or for client work. However, you may not redistribute the Product itself as a standalone item or as part of a bundle, nor may you resell it to others. You may use the Product as a component of your final work product (e.g., using a template to create a finished design for a client is permitted, but giving the template file to the client or another designer is not).
You agree not to:
All intellectual property rights in and to the Product (including but not limited to copyright, trademarks, trade secrets, and any patents) are and shall remain the exclusive property of Evolviture or its licensors. This EULA does not grant you any rights to our trademarks or service marks. Nothing in this Agreement constitutes a transfer of ownership of the Product; you are granted a license to use it only under the conditions specified.
Evolviture may, at its discretion, provide updates, bug fixes, or new versions of the Product. If we do, such updates will typically be made available to licensees who have purchased the Product. However, we are under no obligation to provide updates or ongoing support unless explicitly stated at the time of purchase or in a separate support agreement. Any updates or new versions provided to you will be governed by this EULA (or a revised EULA provided at the time of the update).
This Agreement is effective until terminated. You may terminate it at any time by destroying all copies of the Product in your possession or control and ceasing all use. Evolviture may terminate this license immediately if you fail to comply with any term or condition of this Agreement. Upon termination, you must cease all use of the Product and destroy all copies. Provisions regarding intellectual property, disclaimers, and limitation of liability shall survive termination.
The Product is provided "AS IS" and "AS AVAILABLE" without warranty of any kind, whether express or implied. To the maximum extent permitted by applicable law, Evolviture disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Evolviture does not warrant that the Product will meet your requirements, that its operation will be uninterrupted or error-free, or that defects will be corrected. You acknowledge that use of the Product is at your own risk.
To the fullest extent permitted by law, Evolviture and its officers, directors, employees, affiliates, or licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or use, arising from or related to your use of or inability to use the Product, even if Evolviture has been advised of the possibility of such damages. In any event, Evolviture's total liability to you for all claims arising from or related to this Agreement shall not exceed the amount you actually paid for the specific Product at issue (or $100 if no fee was paid). Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you.
This EULA shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law principles. Any disputes arising under or in connection with this Agreement shall be subject to the dispute resolution procedures set forth in our Terms of Service (including arbitration provisions, if applicable). If you are a consumer in a jurisdiction with mandatory consumer protection laws, those laws may apply to the extent they cannot be waived.
This EULA, together with our Terms of Service and any other policies referenced herein, constitutes the entire agreement between you and Evolviture regarding the Product and supersedes all prior or contemporaneous communications and proposals (whether oral, written, or electronic) between you and Evolviture regarding the Product.
